A. Courier Agreement

1. Independent Contractor

  • Couriers are independent contractors, not employees.
  • No salary, benefits, or guaranteed earnings.

2. Job Acceptance

  • Couriers may accept or decline jobs.
  • Accepting a job is a commitment to complete it.

3. Conduct & Liability

  • Couriers are liable for theft, tampering, and gross negligence.
  • Earnings may be withheld or adjusted in case of verified misconduct.

4. Earnings & Payouts

  • Earnings are tracked within the Yaadex platform.
  • Couriers collect payment directly from customers for their services.
  • Yaadex does not hold or process delivery payments on behalf of couriers.

5. Courier Subscriptions

  • Courier subscription plans are billed monthly in USD and are pre-paid.
  • You may cancel at any time. Your plan stays active until the end of your current billing period.
  • Subscription fees are non-refundable. You retain full access through the paid period.
  • If your renewal payment fails, you have a 7-day grace period before your account is downgraded.
  • After the grace period, paid features are removed automatically.
  • You may undo a pending cancellation at any time before the billing period ends.

B. Customer Terms of Service

1. Service Description

Yaadex is a delivery management platform for couriers that facilitates prepaid delivery coordination between customers, merchants, and independent couriers.

We do not:

  • Manufacture or sell goods
  • Guarantee delivery times
  • Offer Cash on Delivery (COD)

2. Payments

  • Customers pay in JMD, with a minimum of JMD 7 and maximum of JMD 350 per transaction.
  • Prices displayed at checkout are final.
  • Delivery fees are paid by the customer.
  • Payments are processed by eZeePayments; a minimal processing fee applies ($1 per transaction).
  • Payment confirmation authorizes Yaadex to initiate delivery.

3. Refunds

  • Refunds are processed case-by-case and must be requested via the merchant.
  • Refunds are processed after settlement from eZeePayments to Yaadex.
  • Timing depends on the payment cycle (twice-weekly settlements).

4. Chargebacks

  • A chargeback occurs when a bank reverses a transaction.
  • Chargebacks may hold funds up to 180 days while the transaction is investigated.
  • Funds will only release after the banking partner clears the chargeback.
  • Yaadex may adjust balances or apply credits accordingly.

5. Delivery & Timing

  • Delivery times are estimates only.
  • Delays may occur due to merchant readiness, courier availability, or external factors.
  • Yaadex is not liable for delays caused by traffic, weather, or other unforeseen circumstances.

C. Merchant Terms of Service

Merchants use the platform as clients of couriers.

1. Role of Merchant

  • Merchants control product pricing, availability, and refund policies.
  • Yaadex acts as Merchant of Record for processing payments through eZeePayments.

2. Payments & Settlement

Customer payments collected by Yaadex settle according to the eZeePayments USD schedule:

Transactions Thurs–SunSettled Tuesday
Transactions Mon–WedSettled Friday

Delivery fees, refunds, chargebacks, and platform fees are deducted from settlements.

3. Order Management

  • Merchants must confirm product availability and prepare orders on time.
  • Late or incorrect orders are the merchant's responsibility.

4. Delivery Refunds & Disputes

  • Refunds for delivery transactions requested by merchants are processed after funds settle from eZeePayments.
  • Refunds processed before settlement are not possible.

5. Merchant Subscriptions

6. Liability

  • Merchants are responsible for: product quality, order accuracy, and regulatory compliance.
  • Yaadex is not liable for merchant-side failures.

D. Platform General Terms

1. Transparency

Yaadex maintains transparent records for:

  • Courier subscription billing
  • Delivery activity and history
  • Platform usage

Each courier can view their delivery history and subscription status at any time.

2. Risk & Force Majeure

Yaadex is not liable for delays or failures caused by:

  • Weather
  • Traffic
  • Network outages
  • Acts beyond reasonable control

3. Dispute Resolution

  • Platform records are the source of truth.
  • All Yaadex decisions regarding transactions, refunds, and chargebacks are final.
